The ARTIST and The WEST TORONTO ARTISTS agree to the following terms and conditions required to participate as an exhibitor in the 2024 WEST TORONTO ARTISTS STUDIO TOUR taking place on May 25 and 26, 2024.
1. The ARTIST must pay the full registration fee of $200 to exhibit in the 2024 WEST TORONTO ARTISTS STUDIO TOUR.
2. The ARTIST must be an active paid-up member of The WEST TORONTO ARTISTS COLLECTIVE (formerly the Art Tour Collective), effective as of February 29, 2024.
3. The ARTIST must have a Venue that is a location to exhibit their work during the 2024 WEST TORONTO ARTISTS STUDIO TOUR. The Venue may be indoors, outdoors or a combination of the two, at a location acceptable to The WEST TORONTO ARTISTS through the organizers of the 2024 WEST TORONTO ARTISTS STUDIO TOUR.
4. The ARTIST agrees to assume full responsibility for compliance with all rules, regulations, terms and conditions as stated in this contract, as well as all applicable local, provincial, and federal laws and statutes which may apply to the ARTIST’s use of any facilities or premises for the 2024 WEST TORONTO ARTISTS STUDIO TOUR, including, but not limited to the charging of applicable taxes and any and all applicable laws related to the serving and consumption of alcoholic beverages as well as adherence to any Public Health orders and guidelines that may be in effect at the time of the event.
5. This Contract is governed by and construed in accordance with the domestic laws of the province of Ontario, Canada and the laws of Canada applicable therein, without regard to conflict of laws. The parties hereto hereby attorn to the exclusive jurisdiction of the courts of the Province of Ontario. Neither party will assign its rights or obligations under this Contract without the prior written consent of the other party.
Any assignment without consent will be null and void. Superseding all prior oral or written communication with respect to the subject matter and the terms thereof, and may be altered, modified or changed only by a document signed by an authorized representative of each party.
6. The ARTIST undertakes and agrees to indemnify and save harmless The WEST TORONTO ARTISTS, its members, its directors, its volunteers, including the organizers of the 2024 WEST TORONTO ARTISTS STUDIO TOUR, and any business or individual providing space (the Venue) to the ARTIST for the purposes of exhibiting in the 2024 WEST TORONTO ARTISTS STUDIO TOUR, from any, and all claims and liabilities arising as a result of
6.1. any loss or damage to persons or exhibits, due to Fire, Accident, Theft or any other cause while in the Venue,
6.2. any bodily injury to, or death of any person or persons arising out of the ARTIST’s participation in the 2024 WEST TORONTO ARTISTS STUDIO TOUR, including use of the Venue and any claims resulting from the moving of materials to and from the Venue.
7. The ARTIST acknowledges that he/she is strongly advised to consult their own insurance brokers, with a view toward protecting him or her self against insurable risks,
8. Furthermore, the ARTIST understands that in the event that he/she uses any part of the property of a private home as the Venue for the 2024 WEST TORONTO ARTISTS STUDIO TOUR, a standard home owner insurance policy may not provide coverage against risks related to his/her participation in the 2024 WEST TORONTO ARTISTS STUDIO TOUR.
9. The ARTIST is responsible for the set up and take down of his or her exhibit’s contents, including tables, chairs, display elements and inventory.
10. The ARTIST may ask volunteers to help load, unload, set up or take down his or her exhibit, but will not hold them liable for any damage they may cause.
11. The ARTIST will ensure that all contents of his or her exhibit are safe and secure and do not obstruct or interfere with any other artist’s exhibit or the safe movement of people to, through and between the exhibits.
12. The ARTIST acknowledges that the days and hours of the 2024 WEST TORONTO ARTISTS STUDIO TOUR are Saturday May 25, 2024, 11am-5pm; and Sunday May 26, 2024, 11am-5pm, and agrees to open his or her exhibit to the public during these days and hours as a minimum. The ARTIST also acknowledges that he or she may choose to open his or her exhibit beyond those days and hours and remains subject to all the terms and conditions of this contract.
13. The ARTIST acknowledges the importance of attending his or her exhibit in person and agrees to make all reasonable efforts to do so. If absence is unavoidable, the ARTIST agrees to assign a designated substitute(s) to attend on his or her behalf, so that their exhibit can remain open to the public for the advertized days and hours of the 2024 WEST TORONTO ARTISTS STUDIO TOUR as a minimum.
14. The ARTIST agrees to provide a professional, welcoming atmosphere to all visitors, and to work in a courteous, cooperative and supportive manner with all other artists participating in the 2024 WEST TORONTO ARTISTS STUDIO TOUR, and especially with any artist(s) sharing exhibit space at the same Venue.
15. The ARTIST acknowledges that the 2024 WEST TORONTO ARTISTS STUDIO TOUR is a rain or shine event and will be prepared for inclement weather, especially if all or part of his or her exhibit is outdoors.
16. The ARTIST agrees to display only work of his or her own creation, and primarily original work with an allowance for a certain quantity of reproductions of the ARTIST‘s own work, not to comprise the major part of the ARTIST’s exhibit.
17. The ARTIST acknowledges that all sales are the responsibility of the ARTIST.
18. The ARTIST acknowledges that The WEST TORONTO ARTISTS shall have the absolute right to terminate this contract forthwith without notice if in their opinion, the ARTIST is guilty of any breach of any covenant contained herein. Any payment made by the ARTIST to the WEST TORONTO ARTISTS on account hereof, will be retained by The WEST TORONTO ARTISTS as liquidated damages for said breach.
